Nest Mate is not a law firm, paralegal firm, or legal services provider. Nothing on this Platform — including generated notices, documents, templates, rent receipts, or any other content — constitutes legal advice, legal representation, or the creation of a lawyer-client or paralegal-client relationship. The Platform is a software tool designed to help landlords and tenants organize and manage information; it does not replace professional legal counsel.
For advice about your specific legal situation under the Residential Tenancies Act, 2006, the Human Rights Code, the Landlord and Tenant Board (LTB) procedures, or any other law, you should consult a licensed paralegal or lawyer in good standing with the Law Society of Ontario.
1. Acceptance of These Terms
By creating an account, accessing, or using the Nest Mate web application or mobile application (collectively, the "Platform"), you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy, which is incorporated herein by reference.
If you do not agree to these Terms, you must not use the Platform. These Terms constitute a binding agreement between you and Nest Mate ("we," "us," or "our").
2. Eligibility
You must be at least 18 years of age to use the Platform. By using the Platform, you represent and warrant that:
- You are at least 18 years old;
- You have the legal capacity to enter into a binding agreement;
- You are using the Platform in connection with a residential rental property in Ontario, Canada; and
- Any information you provide to us is accurate and complete.
3. Account Registration
To access most features of the Platform, you must register for an account. You agree to:
- Provide accurate, current, and complete information during registration;
- Maintain and promptly update your account information to keep it accurate;
- Keep your password confidential and not share it with any third party;
- Notify us immediately of any unauthorized access to your account; and
- Accept responsibility for all activities that occur under your account.
We reserve the right to suspend or terminate accounts that contain false information or that are used in violation of these Terms.
4. The Platform and Its Limitations
4.1 What the Platform Does
The Platform provides software tools to help landlords and tenants manage residential tenancies in Ontario, Canada. Features include:
- Lease creation, storage, and management;
- Generation of Ontario LTB notice templates (N4, N12, N9, N1, and others);
- Rent receipt generation;
- Tenant application management and rental passport;
- Maintenance request tracking;
- Property inspection records;
- In-platform messaging between landlords and tenants;
- Audit log of significant platform actions;
- Property listings for prospective tenants.
4.2 LTB Notices and Generated Documents
The Platform can generate document templates based on information you provide. These templates are provided for informational purposes only and are not a substitute for professional legal advice. You are solely responsible for:
- Verifying that any generated document is accurate, complete, and appropriate for your situation;
- Serving notices in accordance with the Residential Tenancies Act, 2006 and applicable LTB Rules of Practice;
- Filing applications with the Landlord and Tenant Board where required;
- Complying with all applicable laws.
We make no representation that generated documents will be accepted by the LTB or any other body, or that they are free from errors.
4.3 No Legal Advice
The Platform is a software tool, not a legal service. Nest Mate does not practise law, does not provide legal advice, and is not regulated by the Law Society of Ontario. Use of the Platform does not create a lawyer-client or paralegal-client relationship between you and Nest Mate.
For legal advice specific to your situation, consult a licensed paralegal or lawyer. The Law Society of Ontario's Lawyer and Paralegal Directory is available at lso.ca.
5. Landlord Obligations
If you use the Platform as a landlord, you agree that:
- You have the legal right to rent or manage the properties you add to the Platform;
- You will comply with the Residential Tenancies Act, 2006 and all other applicable laws when serving notices, collecting rent, and managing tenancies;
- You will not use the Platform to harass, discriminate against, or otherwise harm tenants;
- You will not upload or share documents you do not have the right to distribute;
- You are solely responsible for the accuracy of rent amounts, lease terms, and notice information you enter;
- You will obtain any necessary consents before collecting and submitting personal information about tenants, applicants, or references through the Platform.
6. Tenant Obligations
If you use the Platform as a tenant or prospective tenant, you agree that:
- All information you provide in rental applications is true, accurate, and not misleading;
- You are the person whose identity you are submitting for verification;
- You will not submit fraudulent income information, employment details, or references;
- You will comply with the Residential Tenancies Act, 2006 in your dealings with landlords;
- You will not use the Platform to harass or harm landlords or other users.
7. Prohibited Conduct
You must not use the Platform to:
- Violate any applicable federal, provincial, or local law or regulation;
- Discriminate against any person based on a protected ground under the Ontario Human Rights Code;
- Upload, transmit, or share malware, viruses, or other harmful code;
- Attempt to gain unauthorized access to any other user's account or our systems;
- Scrape, harvest, or extract data from the Platform by automated means;
- Impersonate any person or entity or misrepresent your affiliation;
- Use the Platform for any commercial purpose other than managing your own landlord-tenant relationship.
8. Intellectual Property
The Platform, including its design, code, logos, and documentation, is owned by or licensed to Nest Mate and is protected by applicable intellectual property laws.
You retain ownership of the data and documents you upload to the Platform. By uploading content, you grant Nest Mate a limited, non-exclusive licence to store, process, and display your content solely for the purpose of providing the Platform's features to you.
You must not copy, reproduce, modify, or create derivative works from any part of the Platform without our prior written consent.
9. Fees and Payment
The Platform is currently provided free of charge. We reserve the right to introduce subscription or transaction fees in the future. If we do so, we will provide registered users with at least 30 days' prior notice by email. Continued use of the Platform after the introduction of fees constitutes acceptance of those fees.
10. Termination
You may close your account at any time through Settings → Account → Delete Account.
We may suspend or terminate your account, with or without notice, if we reasonably believe you have violated these Terms or applicable law, or if we discontinue the Platform. Upon termination, your right to use the Platform ceases immediately. Data deletion and retention schedules are governed by our Privacy Policy.
11. Disclaimer of Warranties
The Platform is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement.
We do not warrant that:
- The Platform will be error-free, uninterrupted, or available at all times;
- Any generated notice, document, or template is legally sufficient or will be accepted by the LTB;
- The Platform will meet your specific requirements; or
- Any information provided through the Platform is accurate, complete, or up to date.
12. Limitation of Liability
To the maximum extent permitted by applicable law, Nest Mate and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, goodwill, or other intangible losses, arising out of or related to your use of or inability to use the Platform.
In no event shall our total liability to you exceed the greater of (a) the amount you paid us in the 12 months before the claim arose, or (b) one hundred Canadian dollars ($100 CAD).
This limitation applies regardless of the legal theory (contract, tort, or otherwise) and even if we have been advised of the possibility of such damages.
13. Indemnification
You agree to indemnify, defend, and hold harmless Nest Mate and its affiliates, officers, directors, employees, and agents from any claim, liability, loss, damage, or expense (including reasonable legal fees) arising out of: (a) your use of the Platform; (b) your violation of these Terms; (c) your violation of any applicable law; or (d) any content you upload or transmit through the Platform.
14. Governing Law and Disputes
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-law principles. You agree that any dispute arising from these Terms or your use of the Platform shall be resolved exclusively in the courts of the Province of Ontario.
15. Changes to These Terms
We may modify these Terms at any time. We will notify registered users of material changes by email at least 30 days before the change takes effect and will post the updated Terms on this page with a revised effective date. Continued use of the Platform after the effective date constitutes acceptance of the revised Terms.
17. Artificial Intelligence Features
The Platform uses third-party AI services (currently Anthropic's Claude) to power optional features including tenant application analysis, maintenance request triage, document fraud detection, and lease risk assessment.
17.1 Informational Purpose Only
AI-generated outputs — including screening summaries, risk scores, maintenance priority suggestions, and document analysis results — are informational only. They are not legal advice, professional recommendations, or binding determinations. You must not rely solely on AI-generated content when making decisions about tenancies, rental applications, maintenance, or any legal matter.
17.2 No Guarantee of Accuracy
We do not guarantee the accuracy, completeness, fairness, or suitability of any AI-generated content. AI systems can produce incorrect, biased, or misleading outputs. You are solely responsible for independently verifying any AI-generated recommendation before acting on it.
17.3 Human Rights and Fair Housing
You must not use AI-generated outputs to discriminate against any person on a ground protected by the Ontario Human Rights Code, including race, ancestry, place of origin, colour, ethnic origin, citizenship, creed, sex, sexual orientation, gender identity, age, marital status, family status, or disability. AI outputs are a tool to assist your review — the final decision and its compliance with applicable law remain your responsibility.
17.4 Data Sent to AI Providers
When you use an AI-powered feature, relevant information (such as application text, maintenance request descriptions, or document content) is transmitted to Anthropic, PBC for processing. Anthropic's use of this data is governed by its own terms of service and privacy policy. We do not send government-issued identification or selfie images to AI providers.
17.5 Limitation of Liability for AI Features
To the maximum extent permitted by law, Nest Mate shall not be liable for any loss, damage, or harm arising from your reliance on AI-generated outputs, including but not limited to incorrect tenant screening results, missed maintenance issues, inaccurate risk assessments, or false fraud flags. Use of AI features is entirely at your own risk.
